These Terms and Conditions ("Terms") govern the services provided by Flux Media Group ("Flux Media", "we", "us", "our"), a creative agency operating as a unit under Saaiko Nexus, MSME-registered (UDYAM-HR-03-0154629) in Faridabad, Haryana, India.
By engaging our services, signing a project agreement, making a payment, or continuing to work with us after being presented with these terms, you ("Client", "you") agree to be bound by these Terms. If you do not agree, please do not proceed with our services.
These Terms apply to all services including graphic design, branding, video editing, motion graphics, ad creatives, print production, and any other creative or digital services we provide.
The exact scope of every project is defined and agreed upon before work begins. This includes:
Any work requested beyond the agreed scope will be treated as a new or additional project, subject to separate discussion and agreement. We will always communicate clearly before billing for any out-of-scope work.
Clients are responsible for providing all necessary information before work begins, including:
Delays in providing required materials may impact project timelines. Flux Media will not be held responsible for delivery delays caused by the client's failure to provide timely inputs or approvals.
Clients must ensure that any content provided — including images, text, trademarks, and audio — is legally owned or licensed by them. Flux Media assumes no liability for intellectual property violations resulting from client-supplied materials.
All projects require an advance payment before work commences. The advance amount will be discussed and agreed upon prior to project initiation. The standard advance is typically 50% of the total project value, unless agreed otherwise.
The remaining balance must be paid upon project completion and before final files are released to the client. Final deliverables — including source files, editable formats, and high-resolution exports — will only be shared after full payment is confirmed.
Accepted payment methods will be communicated during the project proposal stage. All amounts are in Indian Rupees (INR) unless explicitly stated otherwise.
Flux Media reserves the right to pause or suspend ongoing project work if payments are not made on the agreed schedule. Consistent late payment may result in project termination, with amounts already paid retained for work completed.
The number of revision rounds included in your project will be specified in the project proposal. Revisions refer to refinements within the agreed design direction — not complete redesigns or changes to the original brief.
The following are considered additional revisions (billable separately):
We will always inform you before billing for additional revision work.
Upon receipt of full payment, all intellectual property rights to the final delivered work are transferred to the client. This includes logo files, design assets, video exports, and other deliverables as specified in the project scope.
Source files (e.g., Adobe Illustrator, Photoshop, Premiere Pro, After Effects project files) will be provided only if specifically included in the agreed project scope or upon request at an additional fee.
Flux Media reserves the right to display completed projects in our portfolio, website, and social media profiles unless the client explicitly requests otherwise in writing. We respect all confidentiality requests.
Until full payment is received, all work — including drafts, concepts, and finished designs — remains the intellectual property of Flux Media Group.
Estimated delivery timelines are provided in the project proposal and are based on the assumption of timely client cooperation, including:
Flux Media will communicate proactively if any delays arise on our side. However, we are not responsible for delays caused by the client's failure to provide timely inputs or approvals.
Rush or expedited delivery may be available at an additional fee, subject to our current workload and availability.
If a client cancels a project after work has commenced, the following applies:
Flux Media reserves the right to cancel a project if the client fails to cooperate, provides incorrect or misleading information, or engages in conduct that makes professional collaboration impossible. In such cases, a fair refund for work not yet started will be provided.
Work that has been reviewed and approved by the client at any stage of the project will not be subject to refund, even if the client later changes their mind about the direction.
Clients are fully responsible for:
Flux Media will not be liable for any legal claims, penalties, or damages arising from client-provided content that infringes third-party rights or violates applicable laws.
Both Flux Media and the client agree to maintain confidentiality regarding all sensitive business information, project details, pricing, and unpublished creative work shared during the course of the project.
Flux Media will not share, disclose, or use your confidential business information for any purpose other than completing your project.
Flux Media's liability in connection with any project is limited to the total amount paid by the client for that specific project.
We are not liable for:
Flux Media warrants that all work delivered is original and created by our team. We do not provide warranties regarding the commercial performance, marketing effectiveness, or results of any design or creative work.
If any deliverable is found to have a material defect caused by our error, we will correct it at no additional charge within a reasonable period after delivery.
These Terms and Conditions are governed by the laws of India. Any disputes arising from or related to these Terms or our services will be subject to the exclusive jurisdiction of the courts in Faridabad, Haryana, India.
Flux Media reserves the right to update or modify these Terms at any time. Changes will be posted on our website with the updated date. Continued use of our services after any changes constitutes acceptance of the revised Terms.
